Compact Revised 03/23/2011 COMPACT TRI COUNTY ECONOMIC DEVELOPMENT DISTRICT Amended: March 23, 2011 WHEREAS, this document replaces the revised TRICO Compact dated August 20, 1990, the revised TRICO Compact dated August 1987, and the original TRICO Compact dated September 1970, and WHEREAS, the signatories hereto are desirous of entering into and continuing an agreement to make more efficient use of the powers granted to them; to cooperate and collaborate with each other as local governmental units, municipalities and organizations for mutual advantage; and, thereby to provide services, facilities and planning in a manner and in accordance with various geographic, economic and demographic factors influencing the needs and development of the entire communities covered by this Compact, and WHEREAS, the signatories hereto are permitted to cooperate by virtue of the Laws of Washington (1967) Chapter 239, now codified RCW 39.34, hereafter referred to as the “Inter-local Cooperation Act”, and WHEREAS, the parties have, by appropriate action by ordinance, resolution or otherwise, consented to and ratified this Compact, and directed the execution hereof by their appropriate officers, and WHEREAS, the Compact is in fact an extension and modification of prior Compacts for the organization formerly recognized as “TRICO”, and WHEREAS, the parties are now desirous in setting forth this agreement, NOW THE PARTIES DO HEREBY AGREE AS FOLLOWS: I. The term of this agreement shall be considered to have commenced January 1, 2011, and shall have perpetual existence unless terminated by a two-thirds vote of the Board of Directors. II. The organization comprising the present and future signatories to this Compact shall continue to be known as the “Tri County Economic Development District”, which name is abbreviated “TEDD.” The area encompassing the Tri County Economic Development District at present consists of the three counties of Ferry, Pend Oreille, and Stevens in the State of Washington. III. The purposes which form the basis of this Compact are set forth as follows: A. To implement the Public Works and Economic Development Act of 1965, P.L. 8-136 (89th Congress) 42 USC 3121 et. seq. and all related, subsequent Federal and Washington State legislation relating to the purposes of the said Act; B. To implement Chapter 47.80 RCW Regional Transportation Planning Organizations et.seq. and all related, subsequent Washington State legislation relating to the purposes of said Chapter. IV. To further the purposes set forth in Section III A, Tri County Economic Development District has the following authority, responsibility and functions, not by way of limitation, but for basic identification of same: A. To prepare, maintain, and modify from time to time overall economic and local governmental development plans for TEDD and to implement those plans; B. To prepare and execute such programs of research and services as are necessary and advisable to carry out the purpose of this Compact; C. To contract for service of persons, firms or other units of government to carry out the purposes of this Compact; D. To prepare periodic reports as may be required to further the plans of Tri County Economic Development District; E. To acquire and hold property as permitted by law; to incur expense as permitted by law to carry out the functions of Tri County Economic Development District, to receive contributions and grants made to Tri County Economic Development District consistent with the purpose of this Compact and for the use contemplated herein; to borrow money, make term loans to businesses and to receive funds from member signatories to finance the cost of operation of Tri County Economic Development District. To further the purposes set forth in Section III B, Tri County Economic Development District has the following authority, responsibility and functions, not by way of limitation, but for basic identification of same: A. Prepare and periodically update a transportation strategy for the region. B. Prepare a regional transportation plan. C. Certify consistency of adopted countywide policies and the adopted regional transportation plan. D. Develop a six-year regional transportation improvement program which proposes regionally significant transportation projects, programs, and transportation demand management resources and measures. E. Prepare and periodically update the Coordinated Regional Transit Human Services Transportation Plan. F. Review level of service methodologies used by cities and counties to promote consistent regional evaluation of transportation facilities and corridors. G. Develop level of service standards or alternative transportation performance measures. V. The eligible membership, defined as signatories of this Tri County Economic Development District Compact, consists of the Counties of Ferry, Pend Oreille and Stevens, State of Washington; the Kalispel, Spokane and Colville Confederated Tribes; the Public Utility Districts of Ferry, Pend Oreille and Stevens Counties; the Port of Pend Oreille, the Cities of Colville, Republic, Kettle Falls, Chewelah and Newport; the Towns of Northport, Marcus, Springdale, Metaline Falls, Metaline, Ione, and Cusick. Such membership, however, shall not be limited solely to the aforesaid signatories to this Compact, but may be increased or decreased by two-thirds vote of the Board of Directors. Membership within the Compact shall continue during the term thereof, PROVIDED, HOWEVER, that termination of membership by a signatory may become effective by such signatory, through its governing body, providing prior written notice of at least 60 days to the Board of Directors. VI. The governing body of Tri County Economic Development District shall be designated as the Board of Directors of the organization in accordance with RCW 39.34.030, Paragraph 3B, and shall be composed of such numbers as may be provided in the Bylaws. VII. The principal office of Tri County Economic Development District shall be located in Colville, Washington, at a place designated by the Board of Directors. Tri County Economic Development District may have such other offices as the Board of Directors may determine. VIII. This Compact may be amended by two-thirds vote of the Board of Directors, PROVIDED, HOWEVER, that where a State or Federal Law or practice requires additional approval from the member municipalities and signatories, such shall be provided in written form before amendment shall be completed. IX. Nothing herein shall imply that any signatory waives, surrenders, or otherwise transfers any right, obligation, or duty imposed upon it by Law, and which it alone is authorized to execute. The organization shall not supersede nor replace any of the existing jurisdictions or the party signatories to this Compact. X. Financing shall be accomplished by annual or periodic appropriations from the various signatories and members, and from Federal, State and local resources in the form of grants, loans, and where permissible, bonding as may be permitted by law. Tri County Economic Development District shall also be required to prepare an Annual Budget and submit the same, after approval by the Board of Directors, to appropriate federal and state agencies. XI. Property will be disposed upon termination by distribution to Ferry, Pend Oreille and Stevens Counties governing entities for use for public purposes under such terms and conditions as the public agencies may agree at such time in relation to their respective contributions to Tri County Economic Development District from its inceptions to the date of termination. XII. This Compact shall be considered in full force and effect from and after the date the named signatories have attached their signatures hereto. This compact may be signed in counterparts. |
